Preamble

These Terms of Sale and Use (the "Terms") govern access to and use of the products, services, online training programs, digital content, platforms, and websites operated by Career MyWay Inc. ("Career MyWay," "we," "our," or "us").

By accessing the Website, creating an account, using our services, or purchasing any Program, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with all other applicable legal documents published in our Legal Center.

If you do not agree to these Terms, you must not access or use Career MyWay's services.

1. Définitions

For the purposes of these Terms, the following definitions apply:

Account means the user account created to access Career MyWay Programs and services.

Content means all text, videos, images, graphics, assessments, questionnaires, databases, tools, documents, downloadable files, and any other materials made available by Career MyWay.

Program means any digital product or service offered by Career MyWay, including, without limitation, career exploration programs, specialized modules, educational courses, interactive tools, and educational resources.

Platform means the Website, member areas, applications, and any digital infrastructure used to provide the Programs.

User means any individual who visits the Platform, creates an Account, or purchases a Program.

2. Purpose of these Terms

These Terms govern:

the sale of Career MyWay Programs and digital products;
access to and use of the Platform;
the rights and obligations of Users;
the protection of intellectual property;
payment, refund, and access conditions; and
any other use of the services provided by Career MyWay.

3. Eligibility

Career MyWay Programs are intended for students, prospective students, individuals considering a career change, and anyone wishing to explore career opportunities.

By using the Platform, you represent and warrant that you:

have the legal capacity to enter into a binding agreement under the laws of your country or jurisdiction of residence;
provide accurate, complete, and up-to-date information; and
will use the Platform and Programs solely for lawful and personal purposes.

If a User is considered a minor under the applicable laws of their jurisdiction, the purchase of a Program must be made by a parent, legal guardian, or authorized representative who accepts these Terms on the minor's behalf.

4. Description of the Programs

Career MyWay provides digital educational programs designed to help Users explore, compare, and better understand career opportunities.

Depending on the Program purchased, the available Content may include:

detailed career descriptions;
salary information;
employment outlooks;
educational requirements;
academic pathways;
key skills;
indicators relating to the potential impact of artificial intelligence;
comparison tools;
interactive resources;
video interviews with professionals; and
other educational materials.

The Content available may vary depending on the Program, language, country, or version purchased.

5. Nature of the Services / No Professional Advice

Career MyWay Programs are provided exclusively for informational, educational, and decision-support purposes.

Career MyWay does not provide:

professional advice;
legal advice;
financial advice;
tax advice;
immigration advice;
psychological advice;
personalized career counseling;
individual consultations, personalized follow-up, or individualized feedback; or
coaching services.

The information provided is intended solely to help Users better understand various careers, educational pathways, and aspects of the labor market.

All decisions relating to education, career choices, employment, training, or any other personal matter remain the sole responsibility of the User.

Changes to Information

The information contained in the Programs is based on data, statistics, and sources available at the time of publication.

Careers, educational requirements, salaries, employment outlooks, technologies, artificial intelligence risk indicators, labor market conditions, and applicable regulations may change over time.

Although Career MyWay makes reasonable efforts to rely on reliable and reputable sources, it makes no representation or warranty regarding the accuracy, completeness, or ongoing currency of information obtained from third-party sources.

Accordingly, Career MyWay does not guarantee that all information contained in the Programs will remain accurate, complete, or up to date at all times.

Career MyWay reserves the right to correct, modify, add, remove, or update any Content, tools, features, or information in order to improve the Programs, reflect changes in careers, education, technology, available data, labor market conditions, or for any other reason deemed appropriate.

Users remain solely responsible for the use they make of the information provided and for any personal, educational, professional, or financial decisions they make based on that information.

Career MyWay Programs are decision-support tools only and are not intended to replace professional advice or official information provided by educational institutions, government agencies, professional licensing bodies, employers, or any other competent authority.

6. Account Registration

Access to certain Programs requires the creation of an Account.

Users agree to:

provide complete, accurate, and current information;
maintain the confidentiality of their login credentials;
not share their Account with any other person; and
promptly notify Career MyWay of any unauthorized use of their Account.

Users are solely responsible for all activities conducted through their Account.

Career MyWay reserves the right to suspend or terminate any Account used in violation of these Terms.

7. License and Access Period

Subject to compliance with these Terms, Career MyWay grants the User a limited, personal, non-exclusive, non-transferable, and revocable license to access the purchased Program.

This license is granted exclusively for personal, non-commercial use. No ownership or intellectual property rights are transferred to the User as a result of purchasing a Program.

Unless otherwise specified at the time of purchase, access to the Program is granted for a period of two (2) years from the date of purchase.

During this access period, the User may access the Content included in the Program, together with any updates that Career MyWay may publish for that Program.

At the end of the access period, access will automatically expire unless Career MyWay offers an extension, renewal, or a new commercial offering.

Career MyWay is under no obligation to offer any renewal or extension of access.

If such an option is made available, the User may purchase an extension of access under the terms and conditions in effect at that time.

Career MyWay reserves the right to modify, improve, reorganize, or update the Platform, its structure, features, or Program Content, provided that such changes do not substantially diminish the overall value of the purchased Program.

Each Account is strictly personal and may only be used by one individual.

Users are expressly prohibited from:

sharing their login credentials;
allowing multiple individuals to use the same Account;
selling, assigning, lending, or transferring their Account; or
attempting to bypass or circumvent any security measures implemented by Career MyWay.

Career MyWay may suspend or terminate any Account used in violation of these Terms, including cases involving Account sharing or fraudulent use, without refund.

8. Pricing

Program prices are displayed in the currency specified at the time of purchase and exclude applicable taxes unless otherwise indicated.

Applicable sales taxes are calculated in accordance with the laws of the User's country, state, province, or territory and will be added at checkout where required.

Career MyWay reserves the right to modify its prices, currencies, promotions, discounts, or commercial offers at any time without prior notice.

However, the price applicable to a purchase shall be the price displayed and accepted by the User at the time the order is confirmed.

Promotional offers, coupons, discounts, or special pricing apply only under the specific terms and conditions stated for each offer and may not be combined unless expressly indicated otherwise.

9. Payment Terms

Full payment is required at the time of purchase.

Payments must be made using one of the payment methods available through the Platform.

The User represents and warrants that they are authorized to use the selected payment method.

If a payment is declined, cancelled, reversed, or otherwise unsuccessful, Career MyWay may suspend or deny access to the purchased Program until full payment has been received.

Career MyWay does not store complete payment card information. All payment transactions are securely processed by third-party payment providers that comply with applicable industry security standards.

10. Refund Policy

Due to the digital nature of the Programs and the immediate access granted to the Content, all sales are final.

No refunds, exchanges, credits, or cancellations will be granted after purchase unless required by applicable law or otherwise approved by Career MyWay at its sole discretion.

By completing a purchase, the User expressly acknowledges that performance of the agreement begins as soon as access to the digital Content is provided.

The User further acknowledges that immediate access to digital Content results in the waiver of any statutory right of withdrawal or cancellation where such a right exists under the laws of the User's country, to the extent permitted by applicable law.

Nothing in these Terms limits or excludes any mandatory consumer rights granted under applicable law.

11. Acceptable Use

The User agrees to use the Programs, the Platform, and all Career MyWay services responsibly, lawfully, and in accordance with these Terms.

The User shall not, including but not limited to:

use the Programs for any unlawful or fraudulent purpose;
attempt to gain unauthorized access to Career MyWay's systems or servers;
bypass, disable, or interfere with any security features of the Platform;
disrupt or interfere with the normal operation of the Platform;
introduce viruses, malware, or other harmful code;
use robots, bots, automated scripts, or any other automated means to extract data from the Platform;
impersonate another individual or entity;
allow another person to access or use their Account; or
use the Programs for the purpose of developing or operating a competing business or service.

Any violation of these provisions may result in the immediate suspension or termination of the User's Account without prior notice or refund.

12. Intellectual Property

All Programs, the Platform, and their Content are protected by applicable intellectual property laws.

Protected materials include, without limitation:

written content;
videos;
testimonials;
audio recordings;
documents;
illustrations;
graphics;
tables;
questionnaires;
databases;
tools;
methodologies;
scoring systems;
models;
scripts;
logos;
trademarks;
user interfaces; and
all other materials comprising the Programs.

The name Career MyWay, its logo, and all associated trademarks are the exclusive property of Career MyWay Inc.

Except for the limited rights expressly granted under these Terms, no ownership or intellectual property rights are transferred to the User.

Users are strictly prohibited from:

reproducing any part of the Content;
recording videos;
capturing video recordings or screenshots for public distribution;
publishing, sharing, or distributing the Content on the Internet, social media, digital platforms, or any other medium;
downloading Content except where expressly authorized;
selling, reselling, renting, licensing, or distributing the Content;
translating the Content;
modifying the Content;
creating derivative works;
incorporating any portion of the Content into another course or training program;
using the Content for commercial purposes;
removing copyright notices or proprietary markings; or
providing third parties with access to the Content by sharing Account credentials.

Users are also strictly prohibited from copying, extracting, downloading, indexing, reproducing, or otherwise using any portion of the Content to train, develop, test, improve, or support any artificial intelligence system, large language model (LLM), machine learning model, search engine, database, or similar technology.

Likewise, the use of robots, scraping tools, automated extraction systems, or any similar technology to collect data from the Programs is strictly prohibited.

Any unauthorized use may result in civil, administrative, or criminal proceedings, as permitted by applicable law.

13. Hosting Platform and Service Availability

The Programs are made available through one or more hosting platforms operated by third-party service providers.

Career MyWay makes reasonable efforts to maintain the availability of its services but does not guarantee uninterrupted, continuous, secure, or error-free access.

Career MyWay shall not be liable for interruptions, delays, loss of access, or service limitations resulting from, including but not limited to:

scheduled or unscheduled maintenance;
hardware or software failures;
cyberattacks;
Internet outages;
failures of third-party service providers;
force majeure events; or
any other circumstances beyond Career MyWay's reasonable control.

Career MyWay reserves the right to modify, improve, replace, suspend, or remove Platform features at any time in order to maintain, improve, or secure its services.

Links to third-party websites or services are provided solely for the convenience of Users. Career MyWay has no control over such external resources and assumes no responsibility for their content, availability, accuracy, or business practices.

14. Privacy and Personal Information

Career MyWay collects, uses, stores, and protects personal information in accordance with its Privacy Policy.

By using the Programs, the User acknowledges having read and understood the Privacy Policy.

Users are responsible for ensuring that the personal information provided when creating their Account is accurate and remains up to date.

Career MyWay implements reasonable administrative, technical, and organizational safeguards to protect personal information against loss, unauthorized access, disclosure, alteration, or destruction. However, no method of electronic storage or transmission over the Internet can be guaranteed to be completely secure.

15. Suspension and Termination

Career MyWay reserves the right to suspend, restrict, or terminate, in whole or in part, a User's access to the Platform or any Program, with or without prior notice, if the User violates these Terms or uses the services in an abusive or unlawful manner.

Suspension or termination may occur, including but not limited to, in the following circumstances:

sharing Account credentials;
allowing multiple individuals to use the same Account;
unauthorized reproduction, distribution, or publication of the Content;
infringement of Career MyWay's intellectual property rights;
attempts to bypass or circumvent Platform security measures;
fraud or attempted fraud;
providing false or misleading information;
unlawful use of the Programs;
using robots, automated scripts, or similar technologies to extract Content; or
any other use deemed inconsistent with these Terms.

Suspension or termination of access shall not entitle the User to any refund, credit, or compensation.

The User's obligations relating to intellectual property, confidentiality, limitation of liability, and any provisions that by their nature are intended to survive termination shall remain in effect following the termination of access.

16. Limitation of Liability

The Programs are provided "as is" and "as available," to the fullest extent permitted by applicable law.

Career MyWay does not guarantee any specific outcome resulting from the use of the Programs.

The User acknowledges and agrees that:

results may vary from one individual to another;
the information provided is intended solely as a decision-support resource;
all decisions relating to education, career, employment, training, or any other personal matter remain the User's sole responsibility; and
the User assumes full responsibility for any decisions or actions taken based on the information, tools, and resources provided.

Accordingly, Career MyWay shall not be liable for, including but not limited to:

decisions made by the User;
personal, educational, professional, or financial consequences arising from those decisions;
results achieved or not achieved;
educational, career, employment, or training choices made by the User;
admission requirements, hiring criteria, professional qualification requirements, or decisions made by any educational institution, employer, professional licensing body, or government authority; or
future changes in the labor market, occupations, salaries, technologies, or employer needs.

Career MyWay does not warrant or guarantee:

employment opportunities;
admission to any educational institution;
any particular salary level;
promotions;
academic or professional success;
successful career transitions; or
the achievement of any personal or professional objective.

Results will vary depending on each User's personal circumstances, level of commitment, qualifications, experience, labor market conditions, and numerous other factors beyond Career MyWay's control.

To the fullest extent permitted by applicable law, Career MyWay shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:

loss of income;
loss of profits;
loss of business opportunities;
loss of data;
business interruption; or
any other damages arising out of or relating to the use of, or inability to use, the Programs.

In any event, Career MyWay's total liability shall not exceed the amount actually paid by the User for the applicable Program.

Nothing in these Terms excludes or limits any liability that cannot legally be excluded or limited under applicable law.

17. Force Majeure

Career MyWay shall not be liable for any delay, interruption, or failure to perform its obligations where such delay, interruption, or failure results from events beyond its reasonable control.

Force majeure events include, without limitation:

natural disasters;
fires;
floods;
wars;
armed conflicts;
riots;
pandemics;
cyberattacks;
major Internet outages;
hosting service interruptions;
failures of third-party service providers;
governmental actions; or
any other event beyond Career MyWay's reasonable control.

Career MyWay will make reasonable efforts to restore its services as soon as reasonably possible.

18. Changes to these Terms

Career MyWay reserves the right to modify these Terms at any time, including, without limitation, to:

comply with new legal or regulatory requirements;
improve its services;
introduce new features or functionalities;
enhance User protection; or
reflect changes in its business operations.

The most current version of these Terms is the version published in Career MyWay's Legal Center.

However, for any completed purchase, the applicable Terms shall be those in effect at the time the purchase was made, unless applicable law requires the application of a newer version.

19. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the applicable federal laws of Canada, without regard to conflict of law principles.

Subject to any mandatory consumer protection rights under applicable law, any dispute arising out of or relating to these Terms or the use of the Programs shall be submitted to the exclusive jurisdiction of the courts of the judicial district of Longueuil, Province of Quebec, Canada.

Before commencing legal proceedings, the parties agree to make reasonable efforts to resolve any dispute amicably.

20. General Provisions

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed, and the remaining provisions shall remain in full force and effect.

Career MyWay's failure to enforce any provision of these Terms shall not constitute a waiver of its right to do so in the future.

These Terms, together with the Privacy Policy, Cookie Policy, End User License Agreement (EULA), Refund Policy, and all other legal documents published in the Career MyWay Legal Center, constitute the entire agreement between Career MyWay and the User concerning the Programs.

21. Language

These Terms may be translated into other languages for convenience purposes only.

In the event of any conflict, inconsistency, or difference in interpretation between the various language versions, the French version of these Terms shall prevail, unless otherwise required by mandatory applicable law.
