End User License Agreement (EULA)

1. Purpose of the Agreement

This End User License Agreement (the "EULA") governs your access to and use of the Programs, products, services, and digital content provided by Career MyWay Inc. ("Career MyWay," "we," "us," or "our").

By creating an Account, purchasing a Program, or using our services, you agree to be bound by the terms of this EULA.

This EULA supplements, among other documents:

the Terms and Conditions of Sale;
the Privacy Policy;
the Cookie Policy;
the Intellectual Property and Artificial Intelligence Usage Policy;
any other applicable policies published on our Website.

2. Definitions

2.1 Account

"Account" means the user account created to access Career MyWay Programs.

2.2 User

"User" means any individual who accesses or uses the Website, Programs, or services provided by Career MyWay.

2.3 Program

"Program" means any course, training program, video, questionnaire, assessment, document, educational resource, or digital content offered by Career MyWay.

2.4 License

"License" means the personal, limited, non-exclusive, non-transferable, non-assignable, and revocable right to use a Program in accordance with this EULA.

3. License Grant

Subject to your compliance with this EULA, Career MyWay grants you a License that is:

personal;
limited;
non-exclusive;
non-transferable;
non-assignable;
revocable.

This License permits you to use the Programs solely for your personal, non-commercial use.

This License does not constitute a sale.

No intellectual property rights are transferred to you.

4. License Term

Your License remains valid only for the access period specified at the time of purchase.

At the end of that period, your access will automatically expire unless Career MyWay grants you an extension or you purchase a new access period.

Career MyWay may also modify the duration of access when a Program is updated or replaced by a new version.

5. Authorized Uses

You may:

watch the videos;
participate in the training programs;
complete the questionnaires;
complete the assessments;
download documents where such functionality is provided;
print certain documents for your personal use;
use the knowledge gained for your personal, educational, or professional development.

6. Prohibited Uses

Unless expressly authorized in writing by Career MyWay, you may not:

share your Account;
disclose your login credentials;
sell your access;
assign or transfer your License;
rent your Account;
allow multiple individuals to use the same Account;
distribute the videos;
publish the Content;
record the videos except through features expressly provided for that purpose;
redistribute documents;
incorporate the Content into another course or training program;
use the Programs to provide consulting or coaching services;
circumvent security measures;
attempt to gain unauthorized access;
interfere with the operation of the Platform.

7. User Account

You are responsible for:

maintaining the confidentiality of your login credentials;
all activities conducted through your Account;
keeping your account information accurate and up to date.

You must notify us immediately of any unauthorized use of your Account.

8. Suspension or Termination

Career MyWay may immediately suspend or terminate your License, without refund, including if:

you violate this EULA;
you share your Account;
you use the Program fraudulently;
you infringe our intellectual property rights;
you compromise the security of the Platform;
you misuse our services.

9. Effects of Termination

Upon termination:

your access to the Programs will immediately end;
your License will be revoked;
you must immediately cease using the Program;
no refund will be issued except where required by applicable law.

10. Updates

Career MyWay may, at any time:

modify;
update;
correct;
improve;
replace;
remove;

all or any part of a Program in order to improve its quality or functionality.

Such modifications do not automatically entitle you to a refund.

11. Service Availability

While we strive to provide continuous access to our services, we do not guarantee that the Programs will be available at all times or without interruption.

Temporary interruptions may occur due to:

maintenance;
updates;
technical failures;
issues involving third-party service providers;
circumstances beyond our reasonable control.

12. No Warranty

The Programs are provided "as is" and "as available", to the fullest extent permitted by applicable law.

Career MyWay makes no warranty that:

the Programs will meet your expectations;
the Programs will be error-free;
the Programs will operate without interruption;
the Programs will produce any particular outcome or result.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Career MyWay shall not be liable for any direct, indirect, incidental, special, exemplary, or consequential damages arising out of or relating to:

your use of the Programs;
your inability to use the Programs;
loss of data;
service interruptions;
technical failures;
decisions made based on information provided through the Programs.

14. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the Province of Quebec and the applicable federal laws of Canada, without regard to conflict of law principles.

Any dispute arising out of or relating to this EULA shall be submitted to the competent courts of the Judicial District of [City], Quebec, Canada, subject to any mandatory consumer rights provided under applicable law.

15. Severability

If any provision of this EULA is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

16. No Waiver

The failure of Career MyWay to enforce any right or provision under this EULA shall not constitute a waiver of that right or provision.

17. Entire Agreement

This EULA, together with the other applicable Career MyWay policies and agreements, constitutes the entire agreement between the parties regarding the use of the Programs.
